Terms and Conditions for Stitching Gang

1. Agreement to Terms

Welcome to Stitchinggang.com. These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Stitching Gang (“Company,” “we,” “us,” or “our”), concerning your access to and use of the Stitchinggang.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

By accessing the Site, you agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and you must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. The Content and the Marks are provided on the Site “AS IS” for your information and personal use only. No part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

3. User Registration

You may be required to register with the Site. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

4. Products

We make every effort to display as accurately as possible the colors, features, specifications, and details of the products available on the Site. However, we do not guarantee that the colors, features, specifications, and details of the products will be accurate, complete, reliable, current, or free of other errors. All products are subject to availability, and we reserve the right to discontinue any products at any time for any reason. Prices for all products are subject to change.

5. Purchases and Payment

We accept various forms of payment as listed on the Site. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us.

7. Atelier Keys Program

The Site may offer participation in our exclusive loyalty program, “Atelier Keys” (“Keys”). Your participation is subject to these Terms and any additional rules specific to the program.

- Nature of the Asset: Atelier Keys are unique, limited-edition digital collectibles (NFTs). Their purpose is to reward loyalty and provide access to exclusive benefits.
- Ownership: When you acquire a Key, you own the unique token on the blockchain. However, Stitching Gang retains all intellectual property rights to the underlying artwork and design. You are granted a worldwide, royalty-free license to display the artwork for personal, non-commercial use.
- Redemption and Tradability: Keys may have a redeemable value for Stitching Gang products and may be tradable on a designated marketplace, subject to the program’s specific rules.
- Disclaimer of Financial Value: You expressly acknowledge and agree that Atelier Keys are not a financial instrument or investment product. Their value may be volatile. Stitching Gang is not a financial advisor, and the acquisition of Keys should not be considered an investment. We make no guarantees as to the present or future monetary value or tradability of any Key. You assume all risks associated with owning and trading digital assets.

8. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. Prohibited activities include, but are not limited to, fraud, data mining, uploading viruses, infringing on intellectual property rights, and harassing other users.

9. Governing Law

These Terms and your use of the Site are governed by and construed in accordance with the laws of India applicable to agreements made and to be entirely performed within the State of Rajasthan, without regard to its conflict of law principles.

10. Dispute Resolution

Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Jalore, Rajasthan, India, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such courts.

11. Disclaimer

THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF.

12. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of your use of the Site or breach of these Terms.
